Terms of Service
Welcome to GrazierHQ.
These Terms of Service (“Terms”) govern your access to and use of the GrazierHQ website, mobile applications, web application, APIs, and related services (collectively, the “Services”) provided by Lweendo LLC, doing business as GrazierHQ (“GrazierHQ,” “we,” “our,” or “us”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Services.
If you create an account on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of the Services
GrazierHQ is a software platform designed to help targeted grazing and vegetation management businesses manage their operations.
Features may include, but are not limited to:
- Customer relationship management (CRM)
- Property management
- Project management
- Scheduling
- Calendar synchronization
- Site inspections
- Estimates and contracts
- Photo and video management
- Document storage
- Reporting and analytics
- Google Workspace integrations
- Subscription management
Features may change over time as the platform evolves.
3. Your Account
You are responsible for:
- Providing accurate account information
- Maintaining the confidentiality of your login credentials
- All activity occurring under your account
- Promptly notifying us of unauthorized access
You may not share your account with individuals who are not authorized users within your organization unless your subscription specifically permits it.
4. Subscription Plans
Some portions of the Services require a paid subscription.
Subscription pricing, available plans, and included features are published on our website or within the application.
We reserve the right to modify pricing or subscription plans upon reasonable notice.
Changes will not affect your current billing period but may apply upon renewal.
5. Billing and Payments
Subscription payments are securely processed by Stripe.
By subscribing, you authorize Stripe and GrazierHQ to charge the payment method associated with your account for applicable subscription fees, taxes, and authorized charges.
Unless otherwise stated:
- Subscriptions renew automatically.
- You may cancel renewal at any time before your next billing date.
- Fees already paid are generally non-refundable except where required by law or expressly stated by GrazierHQ.
Failure to maintain a valid payment method may result in suspension or termination of access to paid features.
6. Free Trials
If GrazierHQ offers a free trial, the trial period and any applicable limitations will be described at the time of enrollment.
Unless canceled before the trial ends, your subscription may automatically convert to a paid subscription.
7. Acceptable Use
You agree to use the Services only for lawful purposes.
You may not:
- Violate any applicable law
- Infringe intellectual property rights
- Upload malicious software
- Attempt unauthorized access to our systems
- Interfere with the operation of the Services
- Reverse engineer or attempt to discover source code except where permitted by law
- Circumvent security measures
- Use the Services to distribute spam
- Upload unlawful, defamatory, fraudulent, or harmful content
8. User Content
You retain ownership of the information you upload to GrazierHQ.
By submitting content, you grant GrazierHQ a limited, worldwide, non-exclusive license to host, store, process, transmit, back up, and display your content solely as necessary to provide the Services.
This license ends when your content is deleted, except to the extent copies remain in secure backups or are retained as required by law.
You represent that you have the legal right to upload any content submitted to the Services.
9. Intellectual Property
GrazierHQ, including its software, design, logos, graphics, documentation, databases, trademarks, and other intellectual property, is owned by or licensed to GrazierHQ and is protected under applicable intellectual property laws.
These Terms do not grant you ownership of the Services.
Subject to your compliance with these Terms, GrazierHQ grants you a limited, non-exclusive, non-transferable, revocable license to use the Services during your subscription.
10. Feedback
If you submit suggestions, feature requests, bug reports, or other feedback, you grant GrazierHQ a perpetual, worldwide, royalty-free license to use that feedback without restriction or compensation.
You acknowledge that feedback may be incorporated into future versions of the Services.
11. Third-Party Services
The Services integrate with third-party providers including, but not limited to:
- Google APIs
- Stripe
- Supabase
- Cloudflare
Your use of those services is also subject to their respective terms and privacy policies.
GrazierHQ is not responsible for the availability, functionality, or policies of third-party services.
12. Google Workspace Integrations
If you connect your Google Account, you authorize GrazierHQ to access only the Google services and data that you expressly approve.
Google integrations are provided solely to deliver user-requested functionality.
Your use of Google services remains subject to Google’s applicable agreements and policies.
13. Availability
While we strive to provide reliable service, we do not guarantee uninterrupted availability.
The Services may occasionally be unavailable due to:
- Scheduled maintenance
- Emergency maintenance
- Third-party outages
- Internet disruptions
- Security incidents
- Events beyond our reasonable control
We may modify, suspend, or discontinue portions of the Services at any time.
14. Beta Features
From time to time, GrazierHQ may provide beta, preview, or experimental features.
These features are provided “as is” and may contain bugs, incomplete functionality, or unexpected behavior.
We may modify or discontinue beta features without notice.
